John is sole owner of JRZ Consulting, LLC. Mr. Zajac has over 30 years of experience as a results driven CFO. Mr. Zajac has worked with CEO’s, C-level executives, and Boards in organizations with assets ranging from $30 million to $5 billion. He has a keen ability to quickly assess an organizations opportunities and assists key stakeholders in maximizing their earning potential.

Representative examples of Mr. Zajac’s experience and accomplishments:

  • Strategic Planning – facilitated discussions with CEO’s, C-Suite Executives and Board members in developing actionable strategies that align with the mission, vision and values of the organization. Created comprehensive pro-forma financial forecasts which included capital and liquidity requirements to support future growth assumptions.

  • Turnaround Specialist – successfully cured several institutions that received an MOU or DOR for internal control weaknesses or financial performance issues identified by the CFPB, OCC, NCUA and State bank examiners. Implemented corrective actions to address loan covenant violations with lead banks and/or private equity investors.

  • Mergers & Acquisitions – has worked with investment advisors and legal counsel in both buy and sell-side transactions. Developed pro-forma financial models, led due diligence projects and coordinated post-merger integrations.

  • Risk Management – wrote ERM Policy and Charter for a billion dollar organization to assess, monitor and report on emerging risks in establishing acceptable risk tolerances.

  • Investment Management – restructured underperforming investment portfolios ranging from $100 - $500 million to maximize yields while maintaining safety and liquidity guidelines. One restructuring included the purchase and sale of $40 million of investments that recognized gains of $2.7 million and improved the yield by 40 basis points.

  • Balance Sheet Management – introduced risk based pricing concepts in Asset-Liability meetings to maximize net interest income. At two large credit union’s the pricing discipline resulted in $1.0 million of additional sustainable revenue.

  • Branch Profitability – developed branch profitability models to assist management in the decision process to keep or close existing locations.

  • Facilities Management – was lead coordinator for new branch construction and remodeling projects. Negotiated and reviewed contracts with architects and general contractors. Completed construction projects as large as $3,000,000 on time and within budget. 

  • Systems Improvement – saved over $300,000 in cost reduction programs for card processing, compliance, accounts payable, budgeting and forecasting functions. 

  • Financial Education – created and led financial education training sessions for boards, management and staff in understanding key financial performance indicators. 

  • Vendor Management – implemented a vendor management system that reduced operating expenses by $200,000 and collected $100,000 in refunds of overcharged sales taxes.
